Affinitas firms win five Latin Lawyer Deal of the Year Awards

We are pleased to announce that our member firms Barros & Errázuriz, Gómez-Pinzón, Mijares, Angoitia, Cortés y Fuentes and Miranda & Amado were recognized at the 17th edition of the Latin Lawyer Deal of the Year Awards, for advising on five winning deals in the Project Finance: Infrastructure; Mergers and Acquisitions: Public Companies; Mergers and Acquisitions: Private Companies; Private Equity; and Restructuring categories.

Every year, Latin Lawyer gives awards to general counsel and law firms advising on the most significant deals of the year across Latin America in 11 different categories. Winning deals must have closed between January 1, 2022 and December 31, 2022 and be predominantly based in Latin America.

Peruvian port concessionaire gets novel IBD Invest financingMiranda & Amado advised Citibank del Perú in the USD 115 million refinancing granted by IDB Invest in favor of Salaverry Terminal Internacional.

Mergers & Acquisitions: Public Companies

Univision and Televisa form largest Spanish-language media groupMijares, Angoitia, Cortés y Fuentes and Gómez-Pinzón advised Televisa, a Mexico City-based audiovisual media and content company, on the merger of its media and content business unit with US-base Univision, to create TelevisaUnivision, the largest Spanish-speaking media company in the world. The deal value was USD 4.8 billion.

GIP buys LatAm renewables group Atlas from Actis: Barros & Errázuriz and Mijares, Angoitia, Cortés y Fuentes advised on the acquisition of Latin American renewable energy developer Atlas by US investor Global Infrastructure Partners (GIP).

Private Equity

Multiple firms steer Lumen’s USD 2.7 billion LatAm business saleBarros & Errázuriz, Gómez-Pinzón and Miranda & Amado advised on the USD 2.7 billion acquisition of Lumen Technologies’ Latin American business by USD private equity company Stonepeak.

Restructuring

LATAM Airlines exits Chapter 11Barros & Errázuriz represented LATAM stakeholder Delta Airlines in LATAM Airlines exit from its Chapter 11 proceedings, which put an end to a landmark cross-border restructuring that began over two years ago.

Deal of the Quarter Colombia 1Q 2023: Cemex España acquires additional 4.15% in Cemex Latam Holdings

Gómez-Pinzón advised Cemex España, a Madrid-based entity engaged in producing cement, in the acquisition of an additional 4.15% in Cemex Latam Holdings through a Public Takeover Offer launched to de-list the company’s shares from the Colombian stock exchange (BVC). The deal value was COP 110 billion.

Deal of the Quarter Peru 1Q 2023: Grupo Wiese sells 100% of Holding Transoceánica

Miranda & Amado advised the sellers’ majority individual shareholder in the sale, by Grupo Wiese, of Holding Transoceánica, the titleholder of a 50% stake in Petrolera Transoceánica (Petranso), a shipping company operating in Peru and on the west coast of South America, in favor of its co-controlling partner Ultratug, a leading Chilean shipping company, which thus became the sole controller.
